1. Acceptance of Terms
By accessing digitekentails.com or engaging our services, you agree to be bound by these Terms of Service. If you disagree with any part, you may not use our services.
2. Services
Digitek Entails provides digital marketing services including SEO, paid advertising, social media marketing, web design, email marketing, and related services. Specific deliverables, timelines, and pricing are defined in individual service agreements or proposals.
3. Client Responsibilities
- Provide accurate, complete information required for service delivery
- Grant necessary access to accounts, platforms, and assets
- Review and approve content and strategies in agreed timeframes
- Make timely payments per the agreed schedule
- Ensure all content provided is legally compliant and non-infringing
4. Intellectual Property
Upon full payment, clients own all deliverables (content, designs, code) created specifically for them. Digitek Entails retains ownership of proprietary methodologies, frameworks, tools, and pre-existing intellectual property used in service delivery.
5. Payment Terms
Retainer services are billed monthly, in advance. Project payments follow the schedule defined in the proposal. Overdue invoices attract a 2% monthly late fee. Services may be suspended for overdue accounts exceeding 15 days.
6. Results Disclaimer
While we employ best practices and proven strategies, digital marketing results depend on many factors including market conditions, competition, and client-side factors. We do not guarantee specific rankings, traffic volumes, or revenue outcomes unless explicitly stated in a performance-based agreement.
7. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives termination of the service agreement for a period of 2 years.
8. Termination
Either party may terminate services with 30 days' written notice. Upon termination, clients receive all completed deliverables. Fees for completed work are non-refundable. Ad account access will be transferred to the client within 5 business days.
9. Limitation of Liability
Digitek Entails' total liability for any claim shall not exceed the total fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana, India.
